1. Salim Group philosophy :
[Liem’s] philosophy was the right one. He already knew what I learnt much later: You need to have a company with a continuous positive cash flow. With this you can borrow 3 times as much. He started with cement, and was the only cement-maker for the first 10 years. He had a monopoly in cement and also in [flour] milling with Bogasari. He was very smart to see this. With the cash-flow from these businesses he built up the rest. BCA [Bank Central Asia], the bank, helped in this. BCA was created early on
This is his biggest strength: he could foresee what others could not.
Suharto had a group of favourite ethnic Chinese businessmen, but none of them became as successful as Liem, whose Salim Group developed into the largest diversified group in Indonesia. The Group earned the reputation of one of the most professionally run conglomerates in the country. It is likely that this crony model facilitated the development of professional management skills that enabled the Salim Group to grow beyond a typical Chinese Family Business and surpass its peers.

2. Institutionalising the business
Rapid growth also offered opportunities for the group to distance itself from the profitable but risky Indonesian alliances into the international business arena. In the words of Anthony Salim: From 1972 that’s when the crossover occurred. When we start to become much more by design rather than opportunity driven. Design in the selection of the business opportunity. (..) We still have the contacts and contracts with the government. From 1979 we started to sort of elevate ourselves from government to market based enterprise. We do understand a lot of political implications, because we try to choose that it is much more on business directions rather than government related business— which is still good. Another characteristic is that of course we start to balance our portfolio. We have no pretension to hide that we have started to invest outside Indonesia since 1975, when we created our Singapore and Hong Kong companies.
Although Liem in his time perceived the opportunities of a relationship-based model for his emerging conglomerate, his son and heir Anthony Salim foresaw that another model, independent of personal relationships, was necessary. But even though Anthony Salim claims that the pendulum swung in the direction of market-based strategy in 1972, there is plenty of evidence that the relationship-based model continued simultaneously.3 Sato (1993) suggests numerous links to the government in her study of the Salim Group. Telling examples are the 30% ownership of the Suharto family in Bank Central Asia,4 and government support to Indocement in 1985 (Dick 1985). Yet what Anthony Salim called the “designed” or market-based strategy also took off, in the form of rapid internationalisation. Anthony Salim, with his UK education and international experience, probably triggered this transition. In 1995 as much as 26% of the group activities were located outside Indonesia, mostly in Hong Kong, The Netherlands, Singapore and China (Salim Group brochure, 1995–1996). With earnings of over USD 20 billion, and a large geographical scope, the Salim Group could now be considered a substantial “dragon multinational” in the region (Mathews, 2006). In the 1990s the group placed non-core businesses under trusted professional managers, whereas the traditional cash cows in Indonesia, in particular Indocement, Bogasari and Indofood, remained under direct leadership of the Salim family and their associates. Thus while business diversified the soul of the now impressive Salim Group remained in their Indonesian (quasi) monopolies, which were strongly associated with preferential treatment by the Suharto government.

In conclusion, the case study of the Salim Group suggests the existence of two different strategic forces: the pull of the relationship-based model and the push to the market-based model. This empirical research, one of the first longitudinal studies on this topic, strongly supports theoretical work on the transitions from a relationship-based to a rule-based model (Peng, 2003; Peng & Zhou, 2005). It further clarifies how internal factors, such as generational change, and external factors, such as regime change, influence the strategic model of the Salim Group over time. In addition to finding evidence for a one-directional
transition we note that external and internal stimuli give rise to an oscillatory pattern. As
such, this paper supports existing theory but also proposes a new and rich method of
studying how these transitions take place.

WHY WE NEED A CHIEF STRATEGY OFFICER
CSOs handle three critical strategy implementation tasks:
Engendering commitment to strategic plans. CSOs articulate a clear definition of your company’s strategy and explain how each person’s work relates to it. Driving immediate change. CSOs facilitate the change initiatives required to execute the strategy.
Promoting decision making that sustains change. CSOs ensure that strategic decisions don’t get watered down or ignored as they’re translated throughout the organization.
HELP WANTED: FINDING A QUALIFIED CSO
Finding someone with the skills and experience needed to develop strategy, translate it for people across functions and business units, and drive organizational change is not easy. To help companies evaluate candidates, we’ve developed a checklist of some of the personal and behavioral traits necessary for the job, listed here in order of relative importance.
• Deeply trusted by the CEO.
CSOs are often given carte blanche to tackle companywide challenges and seize new business opportunities, so there must be a strong bond of trust between the strategy chief and the CEO.
• A master of multitasking.
Our survey revealed that CSOs are responsible for upward of ten major business functions and activities, as diverse and demanding as M&A, competitive analysis and market research, and long-range planning. CSOs therefore must be capable of switching between environments and activities without losing speed.
• A jack of all trades.
Less than one-fifth of our survey respondents spent the bulk of their careers (pre-CSO) on strategic planning. Most reported significant line-management and functional experience in disparate areas, including technology management, marketing, and operations.
• A star player.
Most CSOs can point to impressive business results earlier in their careers. They usually view the strategy role as a launching pad, not a landing pad.

• A doer, not just a thinker.
CSOs split their time almost evenly between strategy development and execution, but their bias is toward the latter.
• The guardian of horizon two.
Senior teams generally have a good handle on short- and long-term issues CSOs must be able to refocus the organization’s attention on horizon two, the critical period for strategy execution.
• An influencer, not a dictator.
Strategy chiefs don’t usually accomplish their goals by pulling rank. They sway others with their deep industry knowledge, their connections throughout the organization, and their ability to communicate effectively at all levels of the company.
• Comfortable with ambiguity.
All executives today must exhibit this trait, but it’s especially true for CSOs, whose actions typically won’t pay off for years. The role tends to evolve rapidly, as circumstances dictate, requiring an extraordinary ability to embrace an uncertain future.
• Objective.
Given their wide remit, CSOs have to be perceived as objective. An openly partisan CSO, or one who lets emotions or the strength of others’ personalities cloud his or her vision, is sure to fail.
The CEO’s Burden
The CEO is ultimately responsible for the vision and strategy of the corporation—so why hire a CSO? There are good reasons for CEOs to delegate strategy responsibilities to another in the C-suite. CEOs are being weighed down by the ever-growing complexity of doing business in a global economy. Networks of companies are a great boon to industry, as alliances, partnerships, and close supplier relationships facilitate the flow of mint challenge for stressed-out executives, as big companies enter into literally thousands of relationships

NARRATING ORGANISATIONAL IDENTITIES BY WAY OF EVOLUTIONARY TALES- TALKING SHELL FROM AN OIL TO AN ENERGY COMPANY

1. Shell, analysing the narrative battles over Shell’s organizational identity the present article offers a contribution to the field of organisational identity theory (e.g. Czarniawska, 1997; Dutton & Dukerich, 1991). To this end the article draws on publicly available data extending over more than a decade—a period during which Shell has changed from being an oil company to become an energy company. The overall research question addressed below is: How do narrators seek to narrate the organisational identity of a large Multinational company like Shell, and what does such a narration imply for the conceptual uderstanding of organisational identities?

2. Organisational identity and evolutionary tales, Czarniawska (1997) views Organisational identities ‘‘as a continuous process of narration, where both the narrator and the audience are involved in formulating, editing, applauding, and refusing various elements of the Overproduced narrative’’ (p. 49). The audience for narrations of this ever-produced Narrative—that is, the organizational identity—is not a single homogeneous one. Rather, it is
several different audiences encompassing various groups of employees and various key external stakeholders. Thus, while talk and storytelling can ‘‘do the work of organizing’’
(Boje et al., 2004, p. 576). A closer look on the plots in the two evolutionary tales discussed in this article reveals that they consist ‘‘in the passage from one equilibrium to another. An ‘ideal’ narrative begins with a stable situation which is disturbed by some power or force. There results a state of If the relevant internal and external audiences can accept this narration, it will successfully affect the organizational identity. The plot in agentive actor evolutionary tales also opens with the narrator noting that the business-as-usual equilibrium is being disturbed by some external pressures.

3. Method, Czarniawska (1997) argues that organisational identities are narrated in conversations, Pointing out that ‘‘a published autobiography can be seen as a lengthy contribution to a conversation, in which the responses are delayed’’ (p. 53). The Financial Times, as illustrated in the Introduction, reports developments in Shell in particular of interest to shareholders and also to national governments. Because of this communication link with Shell’s key stakeholders, it can be assumed that The Financial Times plays a part in narrating Shell’s organisational identity. Johannesburg UN Environmental Summit in 2002, Shell’s organisational identity as an oil company that becomes an energy company also selling renewable energy has been narrated. In studying this written data I paid articular attention to narrations of Shell’s organisational identity in relation to two important types of external pressures on companies, namely regulation and market pressures. I marked text with The abstract nature of written identity claims is what makes them more widely acceptable, although their acceptance by the different audiences may be based on different interpretations of what is being accepted. Thus, in the case described in the introduction above, the immediate response of most of the audiences would be a general acceptance of the Shell Chairman’s green narration. However, should a more concrete narration evolve over time, they may not agree on all details, such as the speed with which Shell should adapt to the emerging green market.

4. Shell’s ever-produced organizational narrative—from oil to energy company Shell’s ever-produced organisational narrative—that is, Shell’s organisational identity—has a plot (Czarniawska, 2004). In the early 1990s Shell’s business-as-usual equilibrium was disturbed by increasingly tough market conditions and by the adoption of the UN Framework Convention on Climate Change (FCCC) that regulates global CO2 emissions from the use of fossil fuels. In the mid-1990s Shell then took action, and Shell International Renewables was established. In the late 1990s and early 2000s a new but different equilibrium emerged. Shell had changed from being an oil company to becoming an energy company that was also
selling renewable energies.

4.1. Disturbing Shell’s business-as-usual equilibrium In the early 1990s Shell’s business-as-usual equilibrium was disturbed by the increasingly tough conditions on the market. Cor Herkstro¨ter, the Chairman of Managing Directors in Shell, in particular encouraged narrations aimed at adapting the company’s organisational identity to these developments. In 1993 he told the following evolutionary tale in ShellWorld: ‘‘The world has changed immensely in the past 20 years and the emergence of market forces as a dominant influence means that we have to be more responsive.

4.2. Shell International Renewables, In the mid-1990s Shell’s oil business-as-usual euilibrium is further disturbed by developments on the market and other developments triggered by the Climate Convention. The oil market has become a tough arena in which to operate, In 1995 Shell was defeated by a green consumer boycott because of its plans for dumping the old oil storage tank ‘‘Brent Spar’’ out at sea. Around the same time Shell management narrators virtually ceased to ignore the Climate Convention. ShellWorld reported: ‘‘As a major energy company with global interests, Shell cannot stand aside from the continuing debate over climate change y In the scenarios, new renewable sources continue to progress along their learning curves, first capturing niche markets

4.3. Becoming an energy company, In the late 1990s and early 2000s Shell established a new equilibrium in Shell’s ever-produced organisational narrative based on the renewable energy activities of the mid- 1990s. Shell has now become an energy company that also
sells renewable energies. A new renewable energy identity seems to be emerging in the company. This identity has both normative and utilitarian elements (Albert & Whetten,

6. Conclusion, This article has described how since the Rio Environmental Summit in 1992, the narration of the multinational oil company Shell have projected an evolution from an oil
company identity to an identity also embracing renewable energies. In its analysis of the narrative battles over Shell’s organisational identity the article represents a contribution
to organisational identity theory (Czarniawska, 1997; Dutton & Dukerich, 1991). To do so, it has described certain microprocesses whereby individual management actors seek to achieve a revision of the wider corporate actor (organizational identity) by way of external stakeholder pressures, or to protect the identity from these same pressures. The article shows that while organisational identities are relational, it is possible for management narrators, by telling different kinds of evolutionary tales, to exert a certain influence on.

1. Sustaining Competitive Advantage in the Global Petrochemical Industry : a Saudi Arabian Perspective
1.1 Competitiveness also arises from factors other than macro economic, such as availability of raw materials, cheaper workforce or technological superiority. Porter (1980) is credited with being the pioneer in identifying factors that contribute to national advantage. Porter (1985) made valuable contributions in identifying important factors that contribute to national advantage, that is the factor conditions of a nation..Even in the midst of widespread decline globally, the Kingdom of Saudi Arabia has been on the path of economic growth. However, Saudi Arabia has yet to succeed in the fast approaching global integration. With a relative decline in its competitiveness, the kingdom must use its comparative advantage to remain competitive. For the year 2004,the GDP was $247.2 billion, the real GDP growth rate for the year 2005 is estimated at 6.2% and the inflation rate based on consumer prices is estimated at 1.5%. Saudi Arabia is primarily a petroleum economy with oil revenues representing 90–95% of total Saudi export earnings, 70–80% of state revenues, and around 40% of the country’s gross domestic product (GDP).With oil and gas reserves remaining Saudi Arabia’s greatest natural asset and largest single source of revenue, the aim of this study is to analyse the global petrochemical industry and to identify the competitive advantage of Saudi Arabia. A conceptual framework of Porter’s model will be used to analyse the industry.

1.2 The first priority of Saudi industrial strategy was to develop industries that could exploitthe country’s abundant hydrocarbon resources, such as petrochemicals primarily andfertilisers. Although SABIC has enlarged its activities to engage also in some otherindustrial activities, petrochemicals remain the major part of its business. Overall SABIC has 16 manufacturing subsidiaries which have been established since the 1980s, nine produce chemicals or petrochemicals, three produce fertilisers, two produce iron and steel, one produces polyester and one produces industrial gas. Most of the petrochemical plants were developed in joint ventures with foreign companies. By the turn of the third millennium SABIC became the third largest producer of petrochemicals.. Another petrochemical company Latex has a dominant presence in latex production for multiple uses such as carpets, construction and paint. Latex expects that80% of its products will be consumed in Saudi Arabia and the rest in the neighbouring countries. The Saudi Venture Capital Group (SVCG) has an agreement with Chevron to build a plant to produce benzene and cyclohexane. Both these products are used as inputs in other petrochemical ventures. Compagnie Polyisoprene Synthetique (CPS) is another venture in the private sector which produces butadiene and isoprene, which is used to make rubber. Porter (1980) suggested that competitive strategy should be based on a deep analysis of the structure of an industry and its evolution. Porter (1980) described a five key forcesmodel to analyse the competitive game in an industry; national or global (See Figure 1).Porter’s competitive force model is probably one of the most often used business strategy tools and has proven its usefulness on numerous occasions. Porter’s five forces model is an outside-in business unit strategy tool that is used to analyse the attractiveness of an industry structure. Konteks Strategis mengacu apda proses yang digunakan untuk sampai pada keputusan strategis.
Konteks Struktural mengacu pada struktur hirarkis dan system pengupahan yang digunakan untuk mendukung penerapan strategi tingkat korporat.
Perilaku Strategi yang didorong adalah proses bawah-atas dimana strategy dan struktur saat ini mendorong inovasi produk yang dikaitkan erat dengan strategi dan struktur saat ini.
Kesulitan pengembangan proses usaha korporat internal yang efektif ini tampaknya menunnjukkan bahwa perusahaan-perusahaan besar akan lebih inovatif melalui aliansi strategis dan akuisisi inovasi eksternal ketimbang melalui usaha memaksakan inovasi internal.

Organisasi horizontal merujuk pada perubahan proses organisasi dimana pengelolaan seluruh unit fungsional semakin lebih penting ketimbang pengelolaan hirarikal fungsional atas-bawah.

Kendala integrasi, terdapat kendala yang dapat merintangi usaha untuk mengintegrasikan fungsi dalam suatu organisasi secara efektif.

Memudahkan integrasi, Ada tiga metode yang digunakan perusahaan untuk mencapai integrasi interfungsi ayng efektif.
1. Metode yang pertama ialah yang menggunakan nilai bersama.
2. Kepemimpinan merupakan metode kedua mencapai integrasi antarfungsi. Pemimpin yang strategis yang efektif terus-menerus mengingatkan anggota organisasi tentang nilai yang diciptakan oleh inovasi produk untuk perusahaan itu.
3. Metode ketiga untuk mencapai integrasi antarfungsional berkaitan dengan tujuan dan anggaran. Metode ini meminta perusahaan memutuskan tujuan dan mengalokasikan sumber anggaran yang perlu untuk mengerjakanya.
Integrasi antarfungsional, kalau diterapkan dengan tepat juga akan memeungkinakan berkurangnya waktu ke pasar, mengembangkan kualitas produk, dan menciptakan nilai bagi pelanggan.

Kendala menuju integrasi : Orientasi waktu fungsional yang berbeda (misalnya penelitian dan pengembangan serta produksi), Bahasa dan orientasi interpersonal fungsional yang berbeda, Orientasi tujuan yang berbeda, formalitas struktur.
Fasilitator integrasi : Nilai bersama, Visi produk baru yang diberikan kepemimpinan, alokasi anggaran untuk mengembangkan desain terpadu.

Aliansi ikatan produk digunakan untuk mengisi kesenjangan dalam jenis-jenis produk, sering aliansi seperti itu menjadi bagian dari keinginan untuk melakukan outsource produk ke bidang global dimana produk dapat dihasilkan di tempat tempat produksi berbiaya rendah.

Aliansi ikatan pengetahuan dibentuk untuk membantu perusahaan mempelajari kemapuan khusus perusahaan lain dengan maksud bahwa kedua mitra kerja akan memperoleh keterampilan dan kemapuan yang pada giliranya akan menguntungkan usaha-usaha mendatang.

STRATEGIC LEADERSHIP

Strategic leadership is the ability to anticipate, envision, maintain flexibility, and empower others to create strategic change as necessary.
Effective strategic leadership is a prerequisite to successfully using the strategic management process. Strategic leadership entails the ability to anticipate events, envision possibilities, maintain flexibility, and empower others to create strategic change.

Effective strategic leadership has five major components :
1. Determining the firm’s strategic direction
2. Effectively managing the firm’s resource portfolio ( including exploiting and maintaining core competencies and managing human capital and social capital )
3. Sustaining an effective organizational culture
4. Emphasizing ethical practices
5. Establishing balanced organizational controls

Strategic leaders must develop the firm’s startegic direction. The strategic direction specifies the image and character the firm wants to develop over time. To form the strategic direction, strategic leaders evaluate the conditions (e.g., opportunities and threats in the external environment ) they expect their firm to face over the next three to five years.
Strategic leaders must ensure that their firm exploits its core competencies, which are used to produce and deliver products that create value for customers, when implementing its strategies. In related diversified and large firms in particular, core competencies are exploited by sharing them across units and products.
Top-level managers are an important resource for firms to develop and exploit competitive advantages. In addition, when they and their work are valuable, rare, imperfectly imitable, and nonsubstituable, strategic leaders can themselves be a source of competitive advantage.
The top management team’s characteristics, a firm’s strategies, and its performance are all interrelated. For example, a top management team with significant marketing and R&D knowledge positively contributes to the firm’s use of growth strategies. Overall, having diverse skills increases most top management teams effectiveness.
In managerial succesion, strategic leaders are selected from either the internal or the external managerial labor market. Because of the effect on performance, selection of strategic leaders has implications for a firm’s effectiveness. Companies use a variety of reasons for looking either internally or externally when choosing the firm’s strategic leaders. In most instances, the internal market is used to select the CEO; but the number of outsiders chosen is increasing. Outsiders often are selected to initiate changes.
The balanced scorecard is a framework firms can use to verify that they have established both strategic and financial controls to assess their performance.
Developing and using balanced organizational controls is the final component of effective strategic leadership. The balanced scorecard is a tool that measures the effectiveness of the firm’s strategic and financial controls. An effective balance between strategic and financial controls allows for flexible use of core competencies, but within the parameters of the firm’s financial position.

Kepemimpinan Strategis meliputi kemampuan mengantisipasi, memiliki visi, dan mempertahankan fleksibilitas, memberi kuasa kepada orang – orang lain untuk menciptakan perubahan strategis yang perlu. Strategi ini mempunyai efek penting terhadap upaya perusahaan mendapatkan daya saing strategis dan memperoleh keuntungan di atas rata-rata.
Kepemimpinan strategis efektif diperlukan untuk merumuskan dan menerapkan strategi dengan sukses.

Kerangka acuan manajerial ialah perangkat asumsi, premis, dan kebijaksanaan yang diterima umum yang membatasi atau merangkai pemahaman manajer tentang perusahaan, industri tempatnya bersaing, dan kompetensi inti yang digunakanya untuk meraih keunggulan bersaing yang berkesinambungan.

Manager Tingkat atas menjadi sumber daya penting yang perlu untuk memperoleh keunggulan bersaing yang berkesinambungan. Kemampuan manajerial yang lebih tinggi menjadi prasyarat untuk mendapatkan keuntungan seperti itu. Top Eksekutif melakukan pertimbangan matang dalam mengambil keputusan strategis yang sangat penting (misalnya menetukan inisiatif strategis baru). Jarang seorang manusia (misalnya CEO) dapat memiliki semua pengetahuan yang diperlukan dalam menyelesaikan isu isu strategis terpenting. Karena hal ini, tim manajemen puncak dituntut untuk memimpin banyak organisasi. Kebanyakan tim manajemen puncak lebih efektif kalau mempunyai berbagai kemapuan heterogen. Akan tetapi, tim manajemen puncak yang lebih heterogen sulit dikelola karena membutuhkan kohesi.

Terdapat hubungan antara kecocokan karakteristik tim manajemen puncak dengan strategi perusahaan dan kinerja berikutnya. Misalnya tim manajemen puncak yang mempunyai pasar signifikan dan pengetahuan , penelitian dan pengembangan dan atau keahlian sering memperkuat efektifitas perusahaan kalau tim tersebut membawa perusahaan tersebut pada penerapan strategi yang berorientasi pada pertumbuhan.

Tim Managemen Puncak Heterogen terdiri dari individu-individu dengan latar belakang, pengalaman, dan pendidikan fungsional yang berbeda- beda. Karakteristik tim manajemen puncak ternyata berkaitan dengan inovasi dan perubahan strategis. Tim Manajemen puncak yang lebih heterogen sering lebih sanggup menghasilkan inovasi perusahaan dan perubahan strategis.

Bursa Tenaga kerja internal ialah kesempatan – kesempatan mendapatkan posisi manajerial dalam sebuah perusahaan.

Bursa Tenaga Kerja Eksternal ialah kumpulan kesempatan karier manajer dalam perusahaan/organisasi di luar tempat mereka bekerja sekarang ini.
Menentukan arah strategis perusahaan merujuk pada pengembangan pandangan jangka panjang tujuan strategis perusahaan.

Banyak perusahaan sekarang tidak menekankan otomatisasi dan robotisasi dan sebaliknya menekankan kemampuan dan pemecahan masalah.

Budaya Korporat bisa jadi penting untuk mengemabngkan dan mengelola perilaku manusia dalam organisasi. Manajer puncak dapat menanamkan organisasi dengan visi mereka dan dengan demikian mempengaruhi niali inti yang ditekankan di seluruh perusahaan itu. Budaya korporat yang tepat dapat menanamkan semangat kewirausahaan.

Kepemimpinan Strategis mencakup pengembangan dan pemeliharaan pengendalian strategis. Kontrol strategis menekankan penyeimbangan antara evaluasi tindakan strategis dengan hasil keuangan dari tindakan seperti itu.

Struktur Sederhana ialah bentuk organisasi di mana manager-pemilik mengambil semua keputusan penting secara langsung dan memantau semua aktivitas, sementara stafnya hanya berfungsi sebagai perpanjangan wewenang pengawasan manajer

Stuktur Fungsional terdiri dari CEO dan staf korporat terbatas, dengan manajer jenis produk fungsional dalam fungsi-fungsi dominant seperti produksi, akunting, pemasaran, penelitian dan pengembangan, dan sumber daya manusia.

Struktur multidivisional (bentuk-M) terdiri dari divisi operasi di mana masing-masing divisi mewakili bisnis terpisah dan pejabat korporat puncak mendelegasikan tanggung jawab operasi dan strategi unit bisnis dari hari ke hari kepada manager divisi dengan pendelegasian seperti itu, kantor pusat korporat bertanggung jawab untuk merumuskan dan menerapkan seluruh strategi korporat dan mengelola divisinya lewat control strategis keuangan. Kontrol Strategis merujuk pada pemahaman operasional pejabat-pejabat korporat tentang situasi yang diterapkan dalam unit bisnis yang terpisah-pisah di perusahaan itu.

Kontrol keuangan. .Merujuk pada kemampuan pejabat – pejabat korporat untuk mengelola arus kas semua divisi melalui anggaran dan penekanan pada keuntungan bisnis yang berbeda-beda.

Penerapan Strategi Tingkat- Bisnis ; Struktur dan Kontrol Struktur organisasi didesain untuk memungkinkan penggunaan sumber daya, kemampuan, dan kompetensi inti secara efektif untuk memenuhi tujuan dan misi strategis. Struktur membantu manajer menyeimbangkan kekuatan-kekuatan organisasi yang saling bertentangan. Sebuah organisasi biasanya memiliki divisi kerja dan spesialisasi tugas. Akan tetapi, spesialisasi fungsi juga perlu diintegrasikan untuk menjamin efektifitas. Di antara strategi tingkat-bisnis, terdapat ciri-ciri organisasi tertentu yang dituntut untuk menerapkan strategi tertentu secara efektif.

Untuk menerapkan strategi keunggulan biaya, terdapat persyaratan organisasi yang jelas: sangat dibutuhkanya spesialisasi maupun sentralisasi.

Spesialisasi ialah sejauh mana tugas dan peran yang dibutuhkan teknologi perusahaan dapat dibagi-bagi menjadi subkelompok-subkelompok yang homogen.

Sentralisasi ialah batas dimana wewenang untuk mengambil keputusan dipegang oleh tingkat manager yang lebih tinggi dalam organisasi.

Formalisasi ialah sejauh mana aturan-aturan dan prosedure formal mengatur aktivitas dalam sebuah organisasi.

Penerapan Strategi Biaya Rendah Terintegrasi/Pembedaan, Perusahaan yang mencoba strategi ini beresiko akan terperangkap ditengah tengah dan mungkin tidak akan berhasil, masalah muncul karena penerapanya sulit . Biaya rendah biasanya menuntut penekanan pada rekayasa produksi dan proses manufakture, dengan perubahan produk yang tidak sering terjadi.

Penerapan strategi Fokus , perusahaan berusaha memenuhi kebutuhan pembeli tertentu. Strategi ini paling cocok untuk berbuat dan menjawab kemajuan teknologi yang pesat dan mungkin juga meminta dukungan dari fungsi pemasaran. Kesuksesan implementasi biaya rendah/perbedaan strategi memerlukan koordinasi berbagai fungsi perusahaan(pabrik, pemasaran,keuangan dan lainya). Kelompok fungsional silang mencakup orang orang dari berbagai bagian yang berbeda dari perusahaan.

Penerapan Strategi Berhubungan –Terbatas, Pertalian antara unit-unit bisnis dianggap penting dalam strategi diversifikasi berhubungan –terbatas. Karena pertalian ini, top eksekutif ahrus mendorong kerjasama yang tepat antara divisi-divisi.

Organisasi Matriks ialah struktur ganda yang mengkombinasikan kedua spesialisasi fungsional dengan produk bisnis atau spesialisasi proyek.

Bentuk kerjasama adalah sebuah struktur yang menggunakan sarana-sarana integrasi yang sangat banyak dan praktek-praktek sumber daya manausia horizontal untuk mengembangkan kerjasama.

Penerapan Strategi Gabungan Berhubungan dan Tak berhubungan (Berhubungan-Terantai) Karena strategi gabungan berupaya menerapkan divisi berhubungan maupun tak berhubungan, maka struktur unit bisnis strategis diperlukan untuk mengorganisasikan bisnisnya. Struktur unit bisnis (SBU = Strategic Bussiness Unit) terdiri dari paling tidak tiga tingkat, dengan tingkat tertinggi, markas korporat, tingkat berikut, kelompok SBU; dan ahirnya divisi-divisi yang dikelompokkan oleh keterkaitan dalam masing masing SBU.

Bentuk bersaing ialah dimana struktur dan kontrolnya menekankan persaingan antara divisi-divisi yang terpisah (biasanya tak berhubungan) untuk mendapatkan modal korporat.

Struktur Holding Company (bentuk H) adalah seperangkat bisnis yang sering saling tidak berhubungan satu sama lain tetapi tidak mempunyai sistem kontrol untuk mengembangkan interkoneksi antar bisnis sebgaimana terdapat dalam bentuk kooperatif maupun sistem aloaksi sumber daya internal yang kuat sebagaimana terdapat dalam bentuk bersaing.

Struktur wilayah geografis dunia ialah bentuk organisasi dimana kepentingan nasional mendominasi dan membantu kemampuan manajemen menghilangkan perbedaan-perbedaan lokal dan budaya.

Struktur divisi produk dunia menekankan pengelolaan interdependensi yang diciptakan dengan mengusahakan strategi global; koordinasi ekstensif kegiatan fungsional dalam unit unit bisnis global digunakan untuk menerapkan strategi ini.

1.1 PEMISAHAN KEPEMILIKAN DAN KONTROL MANAJERIAL
Korporasi publik modern didasarkan pada pemisahan antara kepemilikan dan kontrol manajerial yang efisien. Pemegang saham membeli saham dan memberi hak kepada mereka untuk memperoleh penghasilan (sisa keuntungan) dari pengoperasian perusahaan setelah dikurangi biaya – biaya. Hakikat kontrak korporasi milik publik memiliki beban resiko bagi pemegang saham, sementara manajer memegang spesialisasi dalam pengembangan strategi dan pengambilan keputusan.
Diversifikasi produk mendatangkan dua keuntungan bagi manajer yang tidak dapat dinikmati pemegang saham. Pertama diversifikasi dan besarnya perusahaan mempunyai hubungan positif, sebagaimana juga besarnya perusahaan dan kompensasi eksekutif.
Resiko ketenagakerjaan manajer (manajerial employment risk) ialah resiko kehilangan pekerjaan, kehilangan kompensasi, atau kehilangan reputasi manajer.
Arus kas bebas (free cash flow) adalah sumber keuangan yang dihasilkan setelah melakukan investasi di semua proyek yang memiliki nilai netto positif saat ini dalam ciri produk perusahaan itu saat ini.
Mekanisme kekuasaan yang dirancang untuk memantau dan mendorong manajer mengambil keputusan strategis yang memihak kepentingan terbaik pemegang saham.
Konsentrasi Kepemilikan didefinisikan oleh jumlah pemilik dengan blok besar (biasanya mereka yang memegang lima persen atau lebih saham yang diterbitkan) dan seluruh presentasi yang dipegang oleh pemilik blok besar saham ini.
Pemilik Institusional ialah institusi intitusi keuangan, seperti dana saham bersama dan dana pensiun, yang mengontrol posisi pemegang saham terbesar.
Kompensasi Eksekutif ialah mekanisme kekuasaan yang berusaha mensejajarkan kepentingan manajer dan pemilik lewat gaji, bonus, dan khususnya kompensasi insentif jangka panjang, seperti pemilikan saham.
Pasar sebagai kontrol korporat terdiri dari individu dan perusahaan yang membeli posisi kepemilikan (atau pengambilalihan) perusahaan yang kemungkinan besar akan merugi sehingga mereka dapat membentuk divisi baru.
1.2 Kekuasaan Korporat : Jepang dan Amerika Serikat
Perbedaan yang paling penting terjadi antara sistem keuangan Jepang dan Amerika Serikat. Di Amerika Serikat, pemegang saham individu di pasar modal eksternal menyediakan lebih banyak dana bagi perusahaan besar. Pada tahun 1980 an di Amerika Serikat lebih dari 58 persen ekuitas dimiliki individu , sementara 38 persen dimiliki korporasi. Jika di Jepang sekitar 27 persen dimiliki individu, sementara diatas 67 persen dimiliki korporasi.
Di antar bank-bank Jepang yang memegang saham dalam sebuah perusahaan, bank yang khususnya memiliki lembar saham dan utang terbesar, yang disebut bank utama memiliki hubungan paling erat dengan manajemen perusahaan tersebut. Bank Utama mempunyai intensif dan proses untuk memantau secara aktifperusahaan dalam kelompok industri mereka.Sistem kekuasaan Jepang memungkinkan pemantauan melekat dengan biaya rendah dan memberiak kompensasi eksekutif yang lebih rendah. Jadi, bukan hanya sistem kekuasaan A.S menciptakan strategi seperti diversifikasi ektensif, tetapi sistem kekuasaan Jepang juga menciptakan keunggulan bersaing lainya. Terdapat trade off penting bagi sistem kekuasaan korporat Jepang, khususnya penekanan pada proyek inovasi berisiko rendah yang menekankan pengembangan proses yang makin tinggi
